Can you incorporate an automated company in Argentina today? No
No. As of September 8, 2026, the “automated company” is a figure included in the draft General Companies Law that the executive branch sent to Congress on May 29, 2026, and which is being debated in the Senate’s General Legislation Committee with no committee vote yet. Until the law is enacted, published, and its vacancy period expires (180 days from publication, under the proposed text), none can be incorporated. Sources: Parlamentario, Bruchou & Funes.
Can I create a 100% AI-run company in Argentina today?
In fact yes; in law, halfway. No Argentine rule prohibits an ordinary company (for instance an S.A.S. under Law 27.349, in force) from automating its entire operation with AI agents and having no employees; what does not exist yet is the specific legal recognition or the “Automatizada” label. Directors must be persons (individuals or entities, depending on the type) and answer for management under the general duties of loyalty and diligence.
What exactly is an “automated company”?
Under the draft reform of the General Companies Law presented in May 2026, it is a company that carries out its corporate purpose through autonomous algorithmic systems or artificial-intelligence agents, without requiring employees for its ordinary operations. The automated character must be stated in the bylaws and the corporate name must include the word “Automatizada”. Source: Bruchou & Funes. The exact wording of article 14 and the related terms are in the glossary.
Will an automated company be able to run with no humans at all?
No. On August 19, 2026, Senate ruling-bloc leader Patricia Bullrich announced that the text will be amended to require at least one responsible person — an individual, or a legal entity “with sufficient competence” — in these entities, ruling out fully automated companies with no human involvement. AI runs the business; responsibility stays human. Sources: La Nación, El Argentino.
What happens if the AI agent causes harm?
Under the proposed text, the automated company is liable with all of its assets for damage caused by its systems, and using AI in management does not exclude liability or relieve directors of their supervisory duties. While the law does not exist, damage caused by automated systems falls under ordinary law: strict liability for risky activity (art. 1757 of the Civil and Commercial Code) borne by the company operating them. Source: Bruchou & Funes. Article by article, with the Wyoming comparison and what to do today: who is liable when the AI causes harm.
Do I need employees to have a company in Argentina?
No. No Argentine company is required to have employees today; you can operate with working partners, contractors or software. What the bill adds is saying so expressly for AI operations: the automated company is defined as one that does not require employees for its ordinary operations. Source: ICBT.
What obligations will directors of an automated company have?
Article 102 of the text filed with the Senate (folio 53, transcribed on 2026-09-10) lets the administration body use AI to decide, and adds that this “does not exclude or limit the liability of the directors nor exempts them from the duty of configuration and supervision of the system and its results”. That is the only duty the bill names; the reading of ICBT develops it into four verbs — select, configure, supervise and audit the software systems that operate the company — plus emergency-stop mechanisms. In practice: logs, audits and a documented kill switch. Sources: ICBT, Bruchou & Funes.
How is it different from a DAO?
They are two distinct figures within the same bill. The automated company automates the operation of the business with AI agents; the DAO (decentralized autonomous organization) decentralizes governance through protocol rules, with ownership represented in tokens on a blockchain and mandatory legal representation by individuals. A content business operated by AI agents is a candidate for “automated”; a crypto protocol governed by token holders is a candidate for DAO. Sources: Bruchou & Funes, El Liberal.
How is it different from a plain S.A.S.?
A plain S.A.S. (Law 27.349) can be incorporated today and nothing stops it from operating fully automated; it simply does not declare it. The bill’s “Automatizada” adds express legal recognition, the bylaws declaration, the word “Automatizada” in the corporate name (disclosure to third parties) and specific software-supervision duties for directors. The assets backing the company and the limited liability of shareholders work the same way.
How does it compare with Wyoming’s DAO LLC or Utah’s law?
Wyoming (2021), Tennessee (2022) and Utah (2023) created legal vehicles for DAOs — organizations governed by blockchain protocols — not for AI-operated companies: Wyoming “wraps” the DAO in an LLC and Utah created its own entity (the LLD, now Utah Code 16-22 — section by section). The Argentine automated company aims at something else: execution of the corporate purpose by AI agents, with a human responsible person. According to coverage of the bill, Argentina would be the first country with a legal category specifically for AI-run companies. Sources: Proskauer, Segundo Enfoque.
Is Argentina copying Wyoming?
No. Wyoming’s DAO LLC (2021) is a corporate wrapper for organizations governed by blockchain protocols and says nothing about AI-operated businesses; the Argentine bill creates a figure for the operation of the business by AI agents, with a mandatory human responsible person since 2026-08-19, and regulates DAOs as a separate figure. They share the ambition of being first, not the subject matter. The table of the six vehicles — automated company, S.A.S., Argentine DAO, Wyoming DAO LLC, Tennessee DO LLC and Utah LLD — with a primary source per column is in the comparison.
Has any other country given legal personhood to an AI?
No. The European Parliament discussed an “electronic personality” for robots in 2016–2017, but the idea was abandoned, and the EU AI Act (Regulation 2024/1689) regulates AI systems by risk level without creating any corporate form. The Saudi citizenship granted to the robot Sophia (2017) was a symbolic gesture with no legal effect. The Argentine bill does not give personhood to AI either: the legal person is the company. Is it useful for a holding of automated websites or digital businesses?
That is exactly the profile the figure seems designed for: portfolios of digital products operated by pipelines and agents, with no employees in the ordinary operation. Today such a holding can run as a plain S.A.S.; when the figure exists, adopting it would add legal clarity and an explicit signal to customers and platforms. Whether it suits you specifically (one company or several, where to domicile it) is a decision to take with your accountant and lawyer.
What is the Súper RIGI and does it apply to me?
The “Súper RIGI” is a draft Incentive Regime for Large Investments in New Industries: tax, customs and FX stability for up to 30 years for projects of at least US$1 billion in AI mega data centers, semiconductors, biotechnology and the like. It passed the lower house (2026-06-24) and is being debated in Senate committees as of late August 2026. Unless you plan to invest a billion dollars, it does not apply to you: it targets hyperscalers and mega-projects, though it does frame the country’s pro-AI context. Sources: Chequeado, Infobae.
What tax benefits exist TODAY for a software or AI company?
The Knowledge Economy Promotion Regime (Law 27.506, in force) grants a tax-credit bond applicable to national taxes, calculated on employer social-security contributions; an income-tax reduction of up to 60% depending on company size; and 0% duties on service exports. Among other requirements, it demands being an Argentine legal entity registered in the regime’s registry and that at least 70% of revenue come from promoted activities. Source: argentina.gob.ar. When will it be possible to incorporate an automated company?
There is no date. Still missing, in order: the committee report (the ruling bloc wanted it by early September 2026 and, as of 2026-10-05, it has not happened), Senate floor approval (La Nación of 2026-08-19 anticipated the floor “not before the second week of September”; that window passed with no committee vote), lower-house approval, publication in the Official Gazette, the 180-day vacancy period in the text, and the rules of the IGJ and the provincial registries. In the best case, the first incorporations would arrive only in the second half of 2027. The full list of steps — who decides each one, the deadline the rules set and the only hard deadline (the lapse under Law 13,640) — is in the bill tracker. Source: La Nación. Each of those steps — committee report, half-sanction, enactment, promulgation, entry into force, regulation — is defined with its constitutional source in the glossary.
Can the bill change or fail?
Yes, and it has already changed once: on 2026-08-19 the ruling bloc conceded the human-responsible-person requirement to secure support from allied blocs. Hearings featured strong opposition (former corporate-registry head Ricardo Nissen, prosecutor Gabriela Boquín and judge Julián Flores) as well as support (the financial-intelligence unit, academics, technology companies), and the text still has to pass the Senate floor and the lower house. Any plan built on the figure should assume risk of delay, dilution or change. Sources: Pregón, Infobae.
What else does the reform change, besides AI?
The reform repeals Law 19.550 (in force since 1972) in its entirety and replaces it with a new General Companies Law: it keeps the simple company, the S.R.L., the S.A. and the S.A.S.; removes general partnerships, limited partnerships and capital-and-industry companies; digitizes incorporation (digital signature, digital corporate file, electronic registered office, digital books within 2 years); enables remote meetings or resolutions without a meeting; and regulates DAOs with token-based ownership. Source: Bruchou & Funes.
What can I prepare today if I want to be among the first?
Four concrete things: (1) incorporate the structure available today (S.A.S.) if the business cannot wait; (2) assess registering in the Knowledge Economy regime for the tax benefits in force; (3) build now the supervision infrastructure the figure will require — a registry of agents and versions, decision logs, audits and a documented kill switch; and (4) follow the process through primary sources, because the text can change in committee.
