The Argentine bill does two things at once: it lets AI agents carry out a company's business, and it makes the humans behind them prove they are supervising it. GhostCrew is being built around both halves — the entity and the evidence.

Incorporate the vehicle that already exists

No Argentine law prohibits a company operated by software with no staff. What is missing is the label — so the right move today is an S.A.S. (Law 27.349) drafted so that the future conversion is a bylaws amendment rather than a restructuring.

Bylaws that anticipate the statute

A corporate purpose that expressly contemplates being carried out through algorithmic systems or AI agents, easy amendment majorities, and remote or meeting-less resolutions.

The boring stack

Tax ID, digital corporate books, registered address, gross-income registration and a bank or business wallet — the steps that stall most remote founders.

Tax regime in force

Stage 2 · in development

Run the compliance layer the law will demand

Article 102 of the filed text puts one duty on directors who use AI: configuration and supervision of the system and its results. The reading of ICBT develops it into four verbs — select, configure, supervise and audit the systems that operate the company — plus an emergency stop. Those duties are software problems. This is the part we are building.

Agent registry

Every agent, its version, its scope of authority, the model and tools behind it, and the human who supervises it. Versioned, so "what was running on 12 August" has an answer.

Decision log

An append-only record of the decisions taken by agents on the company's behalf — what was decided, on what input, under which version, and whether a human reviewed it.

Audit calendar

Scheduled reviews of each agent with a written outcome, so the "audit" duty produces a paper trail instead of a good intention.

Kill switch, documented and drilled

Who can stop what, how fast, and proof that it was tested — the emergency-stop mechanism the analyses describe, treated as an operational control rather than a clause.

Convert, disclose, keep operating

Amend and rename

Declare the automated character in the bylaws and add «Automatizada» to the company name, as the bill requires — filed with the registry of your jurisdiction.

Name the responsible person

At least one human (or an entity with sufficient competence) on the administration body, with the supervision evidence already accumulated behind them.

Operate under the statute

Digital books, digital corporate file, remote resolutions — plus the ongoing duties, now backed by the registry and logs you have been keeping since stage 2.

Questions about the product

Is GhostCrew a law firm?

No. GhostCrew is an independent publication and a product in development. Incorporation and filings in Argentina are performed by licensed local professionals; our role is the software layer — the registry of agents, the logs, the audit calendar, the paperwork and the tracking of the legal change. Nothing on this site is legal, tax or accounting advice.

Can I pay for anything today?

No. Nothing is for sale. Early access is a free, non-binding waitlist. When there is something to buy, the people on that list hear first and help set the scope and the price.

What happens if the bill never passes, or is watered down?

The compliance layer keeps its value: under current Argentine law a company is already strictly liable for damage caused by risky activity (art. 1757 of the Civil and Commercial Code), and directors already owe duties of loyalty and diligence. An inventory of agents, decision logs and a documented kill switch is evidence of diligence with or without the new statute — and our tracker will tell you the day the bill dies, too.

Do I need to be Argentine, or live in Argentina?

No, but a local entity needs a registered address in the jurisdiction where it is filed, a tax ID, and — for foreign shareholders — the usual registrations. Those requirements exist today for any S.A.S. and are part of what the incorporation step is meant to absorb.
